SQIF Capital JSC, acting in its own name but for the account and in the interests of Adaptive Capital Limited, a subsidiary of Globaltrans Investment PLC, announces the completion of the tender offer.
The Buyer announces the completion of the tender offer and its results, which are presented below:
• The tender offer was initiated for the total number of admitted GDRs, representing approximately 15% of the Company's share capital in aggregate;
• 100% of the total number of duly submitted Offers were accepted by the Buyer under the Tender Offer;
• The admitted GDRs subject to those Offers were transferred to the Buyer for subsequent transfer to Adaptive, and the relevant purchase price was paid to the sellers of the admitted GDRs in accordance with the terms of the Tender Offer. Accordingly, the relevant settlements were duly completed;
• Since the Tender Offer remained open for two months, the Buyer, after consultation with Adaptive, sees no reason to extend it further. The Tender Offer is therefore declared closed;
• In addition, the Buyer, after consultation with Adaptive, currently does not plan to initiate new voluntary tender offers for GDRs;
• The Buyer notes that completion of the Tender Offer will not change Globaltrans' share capital or reduce the number of issued and outstanding Globaltrans shares. The GDRs acquired under the Tender Offer are not subject to automatic cancellation due to their transfer to the Subsidiary as part of settlement and will retain corporate rights, including voting rights at general meetings of shareholders. Therefore, the Tender Offer does not affect the interests held by Globaltrans shareholders or GDR holders who did not participate in the offer.
This announcement shall be interpreted in accordance with the provisions of the Memorandum. Unless otherwise stated in this announcement, capitalized terms have the meanings assigned to them in the Memorandum.
